Payment

The customer hereby promises to pay each invoice issued by Lifeprints within the period specified on such invoice or as specified on the proposal submitted.

Risk in the goods will pass on to the customer upon delivery to the Customer, or on collection by the Customer´s agent or Courier as the case may be. 

In no case will property in any goods supplied pursuant to these Terms & Conditions pass to the Customer until payment has been made to Lifeprints in full for the goods supplied and such goods will remain Lifeprints´ sole and absolute property as legal and equitable owner until such time as the customer has paid in full for those goods.

In the event of the Customer having a bankruptcy notice issued against the Customer or in the event that the Customer is a company, and application for the winding up of the said company is filed,  Lifeprints will have the full and unfettered right to enter onto the premises or yard or property or business site of the Customer without being liable for trespass or property damage and to collect the goods in respect of which payment has not been made to Lifeprints and to take possession of the same. Ownership in such goods at all times is vested in Lifeprints until payment is made in full for such goods.

GST will be itemised on Tax Invoices issued by Lifeprints.

Customer´s instructions

The proof of the goods order which is sent by Lifeprints to the Customer on receipt of the Customer´s acceptance of any proposal will be deemed to interpret correctly the Customer´s instructions whether written or verbal and the Customer agrees to accept the goods in the condition delivered and further agrees that such work is in conformity with the contract.

The suspension by the Customer of any work for any reason whatsoever, for a period of thirty (30) days, shall entitle Lifeprints to payment in full for the portion of work completed.

The Customer cannot cancel orders except on terms that will compensate Lifeprints for all work to date of the cancellation.  Requests to cancel orders must be made in writing.  Costs incurred for artwork, imaging, composition and all work accomplished prior to cancellation will be charged to the Customer.

Every effort will be made to match nominated colours or supplied colour swatches.  However, due to some decoration techniques (dye sublimation process embroidery), a perfect colour match cannot be guaranteed.

Lifeprints´ liability for any indirect or consequential damage of any kind to the Customer arising from third party claims associated by work or by delay in delivery is limited in accordance with Clause 18.

Every effort will be made to ensure correct order quantity is delivered.  However, Lifeprints  reserves the right to overrun or underrun orders by ten percent (10%).  This will result in a total cost increase or decrease in the value of the order.

When orders are manufactured to Customer´s specifications, the purchaser agrees to assume liability from actions or demands against us for patents or copyright.

Lifeprints reserves the right to use all products in our advertising and displays unless otherwise specified in writing at the time of order.   Lifeprints reserves the right to print to print ´Lifeprints promotional products & printing´ and a phone number or website address onto the back or base of items, unless otherwise directed in writing by the Client at the time of order.

Orders for work will be proofed or in the instance of exact repeats a previous example must be submitted with the order.  Proofs must be scrutinised, signed, dated and returned to Lifeprints.  The colours and screen densities generated in proofing processes provide representations only and consequently may vary to the finished product.  A signed proof is legal acceptance of copy and regarded as binding.  Lifeprints will not be responsible for delays in proofing due to inadequate or incomplete artwork or instructions supplied to us.

Unless otherwise agreed, products will be wrapped or boxed in the most economical and efficient manner.

All extra work caused by customer´s corrections including resetting and or additional proofs shall be additionally charged to the customer.  After Artwork or Proof Approval and prior to printing, amendments to artwork or negatives/plates will be charged to the customer.

Lifeprints will not accept returns without prior written authorisation.

Unless specific instructions are supplied, we will ship by the most economical and efficient method.  Lifeprints assumes no responsibility or liability for delays in transportation for causes beyond our control.  All freight and handling charges are invoiced to the Customer.

These trading terms are the basis of the Agreement between Lifeprints and the Customer and in the event of any inconsistency between these trading terms and any other discussions, dealings or arrangements of any nature whatsoever, whether written or oral, between Lifeprints and the Customer, these Terms and Conditions of trade will constitute the Agreement between Lifeprints and the Customer in priority to any other such discussions, dealings or arrangements.
